Terms and Conditions

Welcome to alif.ai! These Terms and Conditions (“Terms”) govern your use of the alif.ai software (the “App”) and any services provided by Yappify AI (the company based in Ottawa, Ontario that developed and sells alif.ai) via our website or the App itself. By purchasing, downloading, or using the App, you agree to be bound by these Terms. If you do not agree with these Terms, please do not purchase or use the App.

 

We’ve written these Terms in plain English as much as possible to make them easy to understand, while still covering important legal points. If you have any questions about these Terms, feel free to contact us at info@yappify-ai.com.

 

1. No Account Creation & Purchase Process

 

No User Accounts: We do not require you to create a user account or profile to purchase or use alif.ai. Purchases are one-time transactions tied to your email address. You will not have a login username/password for our service, as the App is a standalone tool you run on your own device.

 

Email as Identifier: Your email address is used to identify your purchase. When you buy the App, make sure to use a valid email that you can access. This email will be used to send your download link and any future updates. It effectively serves as your “account” identifier for us to verify you are a customer. If you change your email or lose access to it, please inform us with proof of purchase so we can update our records; otherwise, we won’t be able to reach you with updates.

 

One-Time Purchase: Purchasing alif.ai grants you a license to use the software (see Section 3 on License below). This is a one-time purchase – no recurring subscription fees and no automatic renewals. The price you pay at checkout is the only fee for the software itself. We will not charge you again for using the App, and we do not store your payment information to bill you periodically. (Note: Using the App with third-party services like OpenAI’s API may involve their own fees, which are separate – see Section 5).

 

Order Confirmation: Upon successful purchase, we consider the Terms accepted and you will receive a confirmation (on-screen and via email) that includes proof of purchase and a link to download the App. Keep this information as it verifies your right to use the software.

 

2. License to Use the App

 

Personal/Authorized Use License: When you purchase alif.ai, you are granted a non-exclusive, non-transferable, worldwide license to download and use the App for your personal use (or internal business use, if you are a business purchasing it for an employee or representative). This means you can install and run the App on your devices and use it for its intended purpose (enhancing your productivity through its features). You do not own the software code itself – you own a license to use the software.

 

No Resale or Unauthorized Sharing: You agree not to redistribute, resell, or share the software with others who have not purchased their own license. For example, please do not upload the installer publicly, or give it to friends/colleagues outside your organization if they have not paid for it. We offer this software affordably for single users; unauthorized distribution would hurt our ability to continue developing great products. If you need multiple licenses (e.g., for a team), please contact us for appropriate arrangements – do not simply share one purchase with multiple users.

 

No Reverse Engineering: You shall not attempt to reverse engineer, decompile, or disassemble the App, nor attempt to bypass any license or security mechanisms of the App. Our software’s code and design are proprietary. Modifying or hacking the App is not permitted, except to the extent that such actions are explicitly allowed by law (for example, some jurisdictions allow reverse engineering for interoperability purposes – if you believe this applies, we ask that you notify us of your needs so we can attempt to assist without breaching the license).

 

Transfers: Since we don’t have accounts, licenses are effectively tied to the purchaser. If you are an individual, your license is for you. If you are a company purchasing on behalf of an employee, that license covers that employee or a single user. If you ever need to transfer a license to someone else (say you bought it personally but want to give it to your organization), please contact us to discuss – informal transfers may be allowed on a case-by-case basis, but you cannot just sell or give away your license without our approval.

 

3. Software Updates and Support

 

Updates: We may release software updates or patches to improve the App, add features, or fix bugs. If you have purchased alif.ai, you will generally receive these updates for free, at least for all minor version updates. We will notify you of available updates via the email you provided at purchase, or through the app/website. It is your responsibility to download and install updates if you want the latest features or fixes. (In the unlikely event we release a major new version that is a separate product, we would clarify the upgrade policy at that time; but minor updates will not incur additional charges.)

 

Support: We aim to provide support to customers via email. If you encounter any issues with downloading, installing, or using the App, you can contact us at info@yappify-ai.com. We do not have a formal SLA (service level agreement), but we will do our best to respond in a timely manner (typically within 1-2 business days). Support is provided on a best-effort basis. Currently, support is offered in English.

 

Feature Changes: As with any software, features may evolve. We reserve the right to modify or discontinue features within the App as part of updates. We of course aim to improve the product, not take away core functionality without good reason. If we ever remove or significantly change a feature, we’ll mention it in the update notes. We won’t remove any feature that materially impacts your use without providing an alternative or unless it’s necessary (for example, if a third-party service is discontinued).

 

No Guaranteed Availability of Third-Party Services: Note that some functionality of alif.ai depends on third-party services (notably, the integration with OpenAI’s Whisper API). We cannot guarantee the continued availability or performance of third-party APIs. If OpenAI changes or restricts their API such that the App’s functionality is impacted, that is outside our control (see Section 5 and Section 8). We will do our best to release updates to adapt to any changes, but we are not liable if a third-party service decision affects the App’s capabilities.

 

4. OpenAI API Key and Usage Policy

 

One of the distinctive features of alif.ai is that it allows you to utilize OpenAI’s Whisper transcription service by providing your own OpenAI API key. It’s important to understand how this works in terms of terms and usage:

 

User-Provided API Key: To use the AI transcription feature, you must have an account with OpenAI and a valid API key. You provide this key within the App. The key is stored locally on your system for the App to use; it is not sent to Yappify AI. You are solely responsible for keeping your API key safe and not exposing it to others. Do not share your API key with anyone or in any unauthorized application, as per OpenAI’s terms – including making sure you trust the App (in this case, alif.ai) to handle it. We have designed alif.ai to keep your key secure on your device, but you should also avoid actions like posting it online or sending it to support unsolicited.

 

Compliance with OpenAI’s Terms: By using your API key in our App, you agree to comply with OpenAI’s API Terms of Service and Usage Policies. This means, for example, you should not use the Whisper API (through our App or otherwise) to transcribe content that violates OpenAI’s usage rules (such as copyrighted material you don’t have rights to, or content that is illegal). If OpenAI detects misuse of their API via your key, they may suspend your OpenAI account. We are not responsible for any consequences of your violation of OpenAI’s terms. It is your responsibility to use the service appropriately. We provide the tool, but how you use the AI capabilities should align with OpenAI’s guidelines.

 

OpenAI Charges: OpenAI may charge you for API usage (Whisper API has associated costs per minute of audio processed, etc., unless you have some free tier or credit from OpenAI). These costs are not included in the price of our App. You will be responsible for any fees incurred on your OpenAI account by using your API key. We do not receive any portion of those fees, nor do we charge you on OpenAI’s behalf. Essentially, you pay us for the App license, and you pay OpenAI (if applicable) for API usage. Make sure you understand OpenAI’s pricing to avoid unexpected charges.

 

No Warranty on Third-Party Service: While we ensure that our App properly interfaces with the Whisper API, we cannot guarantee the performance, accuracy, or reliability of OpenAI’s service itself. Any transcription results or failures are dependent on OpenAI’s systems. If you have issues specifically with the AI service (e.g., incorrect transcriptions, service downtime), you may need to refer to OpenAI’s support or documentation. Of course, if you suspect the issue lies in how our App is sending requests, you can contact us and we’ll investigate if it’s a problem on our side.

 

Data and Privacy: Using the Whisper API means you will be sending data (e.g., audio recordings) to OpenAI’s servers. You acknowledge that such data will be handled by OpenAI under their terms and privacy policy. We do not have control over data once it leaves the App to OpenAI. (Please see our Privacy Policy for more details on how the App handles your data – in short, we don’t see it, but you should be comfortable with OpenAI’s policies.)

 

5. Payments, Taxes, and Refunds

 

Payment Terms: All purchases of alif.ai are processed via our website’s secure checkout (as described in the Shopping Policy). You agree to provide a valid payment method and authorize us (through our payment processor) to charge the listed price for the App. All prices are clearly displayed at checkout. If, for some reason, additional taxes or charges apply (like VAT for certain countries), those will be shown before you confirm payment. By completing the purchase, you agree to pay the total amount indicated.

 

No Recurring Charges: As noted, there are no recurring charges for the App license itself. We will not automatically bill you at any interval. The only scenario in which you’d pay again is if you choose to purchase a new product or major upgrade from us in the future (and that would be a separate transaction that you initiate).

 

All Sales Final: Please be sure you want the product before purchasing. As a digital product, once you have downloaded the software, we consider the sale final. We do not offer refunds or exchanges by default. See our Refund Policy (Section 9, and also a separate Refund Policy page) for more information. Essentially, because digital goods can’t truly be “returned,” your purchase is permanent. However, we do stand by our product quality, so if you encounter a technical issue or the download was never accessible to you, contact us – while a refund is not guaranteed, we will work with you to resolve any problems (for example, providing redownloads or technical support).

 

Taxes and Duties: Any sales tax, value-added tax (VAT), goods and services tax (GST), or similar taxes that are required by your local laws will be added at checkout (if applicable) and paid by you as part of the transaction. We handle the collection and remittance of these taxes through our payment system in compliance with local regulations. There are no additional customs duties since the product is digital.

 

6. Intellectual Property and Ownership

 

Ownership: The alif.ai software is the intellectual property of Yappify AI. All rights, title, and interest in and to the App (including all code, graphics, logos, and content within the software or on the website) are owned by us or our licensors. Your purchase of a license does not transfer any ownership of the software or related intellectual property to you.

 

Trademarks: “alif.ai” and “Yappify AI” and associated logos or graphics are trademarks/service marks of Yappify AI. You are not granted any right to use our trademarks without our prior written consent, except to refer to our product as necessary (e.g., you can say “I use alif.ai” but you cannot brand another product with our name).

 

User Content: Generally, our App does not host user-generated content aside from the data you process (like audio for transcription) which isn’t stored by us. In the future, if there are features that allow you to input or store content (for example, if the app allowed notes or saved transcriptions), any content you create remains yours. We won’t claim ownership of your original content. However, you would be responsible for ensuring you have rights to any content you process through the App (e.g., don’t transcribe someone else’s copyrighted audio if you don’t have permission, because we don’t want to facilitate copyright infringement inadvertently).

 

7. Acceptable Use and Conduct

 

By using alif.ai, you agree to use it only for lawful purposes and in accordance with these Terms. Specifically:

• No Illegal Use: You will not use the App to facilitate any activity that is unlawful. This includes, but is not limited to, using the transcription feature to process content that is illegal to possess or distribute in your jurisdiction (for example, recordings that violate privacy laws, or content that incites violence or hate, etc.).

• Compliance with Laws: You will adhere to all applicable laws and regulations while using the App. Since the App is available globally, it’s your responsibility to ensure compliance with local laws (for example, data protection laws if you are processing personal data via transcription – ensure you have consent if transcribing someone’s speech, where required).

• No Harmful Use: You will not use the App in a way that could harm, disable, or impair the software or our services, or interfere with any other party’s use of the App. For instance, attempting to hack the app or using it to attack other systems is strictly prohibited.

• No Misuse of OpenAI: As mentioned, you will follow OpenAI’s usage policies. You will not attempt to use the App to circumvent OpenAI’s rules or security (for example, you won’t try to send malicious inputs or overload their API in violation of their rate limits or fair use). If we are informed of serious misuse that could affect us or others, we reserve the right to take action (see Termination below).

• Feedback and Reviews: This isn’t exactly a “rule,” but if you choose to provide feedback, suggestions, or reviews for our App, you agree that we can use and share that feedback (e.g., for improving the product or marketing), and that you won’t include confidential or infringing material in such feedback. You also agree to be truthful and fair in reviews or communications regarding our product (e.g., no false claims, though of course honest opinions – even negative – are fine).

 

8. Termination of Use

 

Since we do not have user accounts, “termination” in our context mostly means termination of the license or support:

• By You: You are free to stop using the App at any time. If you no longer agree to these Terms or no longer wish to use alif.ai, you may uninstall the software. Keep in mind, as per our Refund Policy, uninstalling does not entitle you to a refund (since the sale is final).

• By Us (License Revocation): We reserve the right to revoke or terminate your license to use the App if you materially breach these Terms. For example, if we discover that you have pirated the software, shared your copy widely against the license terms, or used the software for illegal purposes that could harm us or others, we may terminate your right to use alif.ai. In practice, because this is offline software, such termination would likely be notification to you that you must cease use and delete the software, and a ban on receiving further updates or support. We would only take such steps in extreme cases.

• Discontinuation: We reserve the right to discontinue the availability of the App in the future (for example, if for some reason we can no longer support it), but if you’ve purchased it, your existing version would likely continue to function on your device. If we plan to discontinue or sunset the product, we will give notice on our site or via email. These Terms would continue to apply until you stop using it.

• Surviving Provisions: Even if your license is terminated, certain sections of these Terms will continue to apply (those that by their nature are meant to survive), such as sections on Intellectual Property, Disclaimers, and Liability limitations, to the extent relevant.

 

9. Disclaimer of Warranties

 

Product “As Is”: We strive to deliver a high-quality, reliable app, but alif.ai is provided “as is” and “as available”. This means that we are not offering explicit warranties or guarantees about the software. To the fullest extent permitted by law, Yappify AI disclaims all warranties, express or implied, regarding the App and its related services. This includes any implied warranties of merchantability (fitness for ordinary use), fitness for a particular purpose, non-infringement, and any warranties that may arise from course of dealing or usage of trade.

 

In plain language: we believe our software will serve you well, but we can’t promise it will meet every expectation or be completely error-free. For example, we can’t guarantee that the App will be compatible with every system configuration, that it will always run without bugs or interruptions, or that it will exactly meet your needs. We also can’t guarantee that using the App with the Whisper API will always produce perfect results (that depends largely on OpenAI’s tech and the input).

 

No Warranty on Results: We do not warrant or guarantee the accuracy of any output from the App (e.g., the transcripts produced by the Whisper integration) or that the App will achieve any specific productivity gains for you. Any suggestions or guidance the App provides (if any) are for convenience and you should verify important results independently.

 

Security and Data: While we have taken measures to keep the App secure, we do not warrant that the App or our website is completely secure or free from vulnerabilities or viruses. You should use up-to-date antivirus and security software on your systems. Any transmission of data (like using the API feature) is at your own risk.

 

Legal Rights: In some jurisdictions, you may have rights that do not allow the exclusion of certain warranties. If those laws apply to you, some of the above disclaimers may not apply. In such cases, we limit our warranties to the minimum extent permitted by law.

 

10. Limitation of Liability

 

No Indirect Damages: To the extent permitted by law, Yappify AI (and its owners, developers, and affiliates) will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of (or inability to use) alif.ai. This includes, for example, damages for loss of data, loss of profits, business interruption, computer damage, or any other intangible losses, even if we have been advised of the possibility of such damages.

 

Cap on Liability: To the extent permitted by law, the total aggregate liability of Yappify AI for any claims arising out of or related to these Terms or the use of the App is limited to the amount you paid for the software. In other words, our maximum liability to you will not exceed the purchase price you paid to us, which is the direct amount under this agreement.

 

Third-Party Liability: Yappify AI is not liable for the actions or inactions of third parties, including third-party service providers like OpenAI or Wix. If an issue arises from those services (for instance, OpenAI charging you excessively or a breach on Wix’s platform), we are not responsible for those damages. You would need to address those issues with the respective third party.

 

User Responsibility: You assume full responsibility for any results obtained from the use of the App, and for conclusions drawn from such use. You also assume all risks associated with inputting any data into the App (for example, if you choose to transcribe sensitive information via the App, you understand that data goes to OpenAI and you accept any risk associated).

 

Exceptions: Nothing in these Terms is intended to exclude or limit liability that cannot be excluded under law. For example, in some places liability for personal injury or fraud cannot be limited by contract – we of course do not seek to limit our liability in such cases. These Terms also do not limit your statutory rights as a consumer that cannot be waived.

 

11. Governing Law and Dispute Resolution

 

Governing Law: These Terms and any action related to them shall be governed by the laws of the province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflicts of law principles. If you are a consumer in another country, you may also have certain protections under your local laws that cannot be waived, but in any case, our intent is to have Ontario law apply where permissible.

 

Jurisdiction: You agree that any dispute or claim arising out of or in connection with these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts located in Ottawa, Ontario, Canada, except where prohibited by applicable law (for example, certain consumer laws might allow you to bring claims in your home country). We do not anticipate disputes, but it’s important to know the venue if it happens.

 

Dispute Resolution: Before taking any legal action, we strongly encourage you to contact us at info@yappify-ai.com to discuss the issue. Most disputes or misunderstandings can be resolved through communication, and we value the opportunity to make things right if you are dissatisfied. If we cannot resolve informally, then you may pursue formal legal remedies as outlined above.

 

12. Changes to Terms

 

We may update or modify these Terms from time to time (for example, if we add new features or if laws change). If we make significant changes, we will notify customers via email or via our website. The “Last Updated” date at the top will always indicate when the latest changes were made. By continuing to use the App after updates to the Terms are in effect, you agree to the revised Terms. If you do not agree with the changes, you should stop using the software and you may contact us to see if any accommodations can be made (though we cannot refund past purchases, we could attempt to address your concerns).

 

It’s a good idea to check the Terms periodically. We will archive old versions as needed, and can provide them upon request so you can see what changed.

 

13. Miscellaneous

 

Entire Agreement: These Terms, along with our Privacy Policy and any other policies referenced (such as the Refund Policy or Shopping Policy), constitute the entire agreement between you and Yappify AI regarding the purchase and use of alif.ai, superseding any prior agreements or communications (whether written or oral) relating to the subject matter. In case of conflict between these Terms and any other policy, these Terms would generally govern use of the App, whereas the Privacy Policy governs data handling, etc.

 

Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable from the Terms and will not affect the validity and enforceability of the remaining provisions. The invalid provision will be interpreted or replaced in a way that best matches the original intent within legal bounds.

 

No Waiver: If we do not enforce a provision of these Terms, that does not mean we waive our right to do so later. For example, if you breach these Terms and we don’t immediately take action, we still have the right to enforce that provision in the future or in any other situation where you breach the Terms.

 

Assignment: You may not assign or transfer your rights or obligations under these Terms to anyone else without our written consent. We may assign our rights and obligations to an affiliate or in the event of a merger or acquisition, but we will ensure the Terms still protect your rights.

 

Headings: The headings used in these Terms (like “No Account Creation” etc.) are for convenience only and do not have legal effect.
